By-Laws

Article I: Name
The name of this organization shall be the Staff Activities and Concerns Association of the University of Pittsburgh at Johnstown.

Article II: Purpose
The purpose of the Staff Activities and Concerns Association shall be to provide representation and leadership for non-union, non-faculty personnel (referred to hereinafter as “non-union staff”) and to promote positive working relationships.

Article III: Membership
For the purposes of these By-Laws, membership in the Staff Activities and Concerns Association is open to all non-union, non-faculty staff. Membership shall commence immediately upon employment at the University of Pittsburgh at Johnstown.

Article IV: Management
Section 1. The management of the business of the Staff Activities and Concerns Association shall be vested in an executive committee (comprised of a President, Vice President, Secretary and Treasurer) designated by the Staff Activities and Concerns Association Council. The Council shall be the governing body of the Staff Activities and Concerns Association.

Section 2.

  1. The election of the Staff Activities and Concerns Association Council members shall be conducted annually.

  2. Nominations for membership to the Council will be solicited from non-union staff each November. Elections will be conducted immediately following the acceptance of nomination.

  3. Appointment to the Council will be made to those 15 individuals receiving the highest number of votes. In the event of a tie, a run-off election will be held among the lowest vote recipients

Section 3. Except as otherwise provided in these By-Laws, said Council shall consist of no more than 15 voting members of the Staff Activities and Concerns Association, to be chosen as follows:

  1. Fifteen individuals elected for a term of two years by and from members of the Association. Seven of the foregoing individuals shall be elected at the end of one year and eight shall be elected at the end of the next.

  2. In the event of a vacancy on the Staff Activities and Concerns Association Council, the President of the Association has the authority to appoint a new member from within the Association to serve the remainder of the vacant term.

  3. There shall be no limit to the number of terms that a council member may serve.

Section 4. The terms of office of all Council members shall be two years commencing the first day of January of the year immediately following the election.

Article V: Duties of Officers
Section 1. The President shall be the chief executive officer of the Staff Activities and Concerns Association and shall exercise general supervision over the affairs of the Association. He or she shall preside at all meetings of the Staff Activities and Concerns Association and the Staff Activities and Association Council. He or she shall see that all orders and resolutions of the Council are implemented. He or she shall be an ex-officio member of all committees and shall have the general powers and duties usually associated with the president of an organization.

Section 2. The Vice President shall have and exercise all powers and duties of the President during the absence or incapacity of the President.

Section 3. The Secretary shall attend all meetings of the Staff Activities and Concerns Association and of the Staff Activities and Concerns Association Council. He or she shall preserve in books of the Association the minutes of the proceedings of such meetings. He or she shall give or cause to be given notice of all meetings of the Association and the Council.

Section 4. The Treasurer shall keep full and accurate accounts of receipts and disbursements in books belonging to the Association. He or she shall tender to the President and the Council, at regular meetings of the Council, or when otherwise required, an account of all his or her transactions as Treasurer. The Association must abide by all policies and procedures governing purchasing and receipt of monies as established by the University of Pittsburgh. All requests for disbursements must be presented to the SAC Association President, who will then forward the request to the UPJ President for final approval.

Section 5. The officers shall be ex-officio members of all standing committees and shall have such additional powers and duties as are prescribed by Staff Activities and Concerns Association Council.

Article VI: Election and Term of Officers of the Executive Board
The Executive Board will be the governing body for the Staff Activities and Concerns Association and Council.

Section 1. Open nominations for positions on the Executive Board shall be solicited from elected council members following the November election. Elections for these positions will be conducted at the first Council meeting of the new year.

Section 2. If the office of any Executive Board member becomes vacant, the president shall choose a successor who shall hold office for the remainder of the term of the vacated position.

Article VII: Standing Committees
All Non-union staff shall have input into the direction and activities of all standing committees.

Section 1. Staff Relations
The Staff Relations committee shall acknowledge the contributions of staff to the general welfare of the University and provide formal recognition for those accomplishments deemed worthy by the members of this committee.

Section 2. Student Relations
The Student Relations committee shall acknowledge the contributions of students and student organizations to the general welfare of the University and provide formal recognition for those accomplishments deemed worthy by the members of the committee.

Section 3. Staff Activities
The Staff Activities committee will coordinate and implement social activities for the benefit and enjoyment of all non-union staff.

Section 4. Staff Issues and Concerns
The Staff Issues and Concerns committee shall work with staff to identify issues and concerns that directly impact the overall work environment, and that are of relevance to all staff. The committee shall work with appropriate representatives of the staff and administration to address these issues and concerns.  The committee shall also be responsible for soliciting nominations to Council and for conducting annual Council elections.

Section 5.  Community Relations
The Community Relations committee shall coordinate staff participation in service projects for the benefit of the campus and local communities.

Article VIII: Project Committees
The Council shall establish project committees to plan and execute specific activities of the Association that are authorized by the Council. Project committees may consist of any number of the Council or Non-union staff. The duties of each project committee shall be directed by the Council. All project committees shall fall under the jurisdiction of the appropriate standing committee. Project committees shall have a minimum of two members selected from the non-union staff.

Article IX: Association Meetings
Section 1.  The Staff Activities and Concerns Association will hold general Association meetings as deemed necessary. The time and place of said meetings shall be determined by the members of council. Meetings of the Council shall be held monthly at 12:30 p.m. on the second Wednesday of each month.  No meetings are held during the months of June or July.

Section 2.
  Any Association member may present to any member of council, at any time, a request for a special Association meeting. Council will review the request at its next regularly scheduled meeting. At that time a vote will be taken on the issue. If the majority of council votes in favor, a special meeting will be called. At least 20 days notice of the time, place and purpose of a special meeting of the Association shall be given in writing to each regular member.

Section 3.
  Special meetings of the Association may be called by the President or upon the written request of 30 regular Non-union staff. At least 20 days notice of the time, place and purpose of a special meeting of the Association shall be given in writing to each regular member.

Section 4.
  Thirty regular staff employees shall constitute a quorum at any meeting of the Association.

Article X: Committee Management
Section 1.  Each standing committee shall be comprised of two members of council, one of whom shall act as chairperson of the committee. The remaining membership shall be chosen from the Non-union staff at large.
Section 2.  Each Committee chairperson shall be responsible for submitting a report at each monthly meeting of the Council. The committee chairperson shall also be responsible for submitting a general report at each Association meeting.

Section 3.  In the event that money is involved for use by a standing committee, the chairperson will be responsible to give an account to council at the next meeting following the conclusion of the project.

Article XI: Order of Business at Regular Meetings
The order of business at regular full Council meetings shall be as follows:

Article XII: Parliamentary Authority
Robert’s Rules of Order (Revised) shall be the parliamentary authority with respect to all proceedings not specifically provided for in these By-Laws.

Article XIII: Amendments
Section 1.

  1. The By-Laws may be amended by a two-thirds (2\3) majority vote of the staff employees present at an Association meeting called for the purpose of amending the By-Laws provided that a quorum exists.

  2. At least 10 days notice of the time and place of such a Council meeting, together with the text of the proposed amendment, shall be given in writing to each Council member.

Section 2.

  1. The By-Laws may also be amended by a two-third (2/3) majority vote of the Council members present at a Council meeting called for the purpose of amending the By-Laws. Eight (8) Council members shall constitute a quorum.

  2. At least 10 days notice of the time and place of such a Council meeting, together with the text of the proposed amendment(s), shall be given in writing to each Council member.
